ARTICLE 1 - Scope of application
These General Terms and Conditions of Sale ("GTCS") apply, without restriction or reservation, to any purchase of the following Services offered by the Provider to non-professional consumer Customers on its various sites: (i) Lowdout Manage — SaaS access to a management platform for esport teams; (ii) Lowdout Companion — desktop coaching app distributed as a personal subscription; (iii) Weclimb Platform — competitive video-game coaching services (live sessions, packs, group sessions, VOD reviews, community subscriptions) sold directly by Lowdout SASU to its Player customers under the Weclimb brand. Services sold on Weclimb are supplied to Lowdout by selected independent coaches acting as subcontractors (Article 20 of these GTCS).
The main characteristics of the Services are presented on the https://lowdout.gg website. The Customer must familiarise himself/herself with them before placing an order. The choice and purchase of a Service is the sole responsibility of the Customer.
These GTC are available at all times on the https://lowdout.gg website and shall prevail over any other document.
The Customer declares that he/she has read these General Terms and Conditions of Sale and has accepted them by ticking the appropriate box before placing an order online at https://lowdout.gg.
In the absence of proof to the contrary, the data recorded in the Service Provider's computer system constitutes proof of all transactions concluded with the Customer.

Customs duties or other local taxes or import duties or state taxes may be payable. The Customer shall be solely liable for any such charges.
ARTICLE 2 - Prices
The Services are provided at the rates in force on the https://lowdout.gg website when the order is placed by the Service Provider.
Prices are given in Euros, excluding VAT and including VAT.
Prices take into account any discounts offered by the Service Provider on the https://lowdout.gg website.
These prices are firm and non-revisable during their period of validity, but the Service Provider reserves the right to change the prices at any time outside their period of validity.
Prices do not include processing, dispatch, transport and delivery charges, which are invoiced in addition, under the conditions indicated on the site and calculated before the order is placed.
The payment requested from the Customer corresponds to the total amount of the purchase, including these costs. An invoice is drawn up by the Service Provider and given to the Customer when the Services ordered are provided.
ARTICLE 3 - Orders
It is the Customer's responsibility to select the Services they wish to order on the https://lowdout.gg website, in accordance with the following procedures:
The Customer selects the desired subscription plan on the Site. They create a user account or log in, check the details of their order (price, duration) and correct any errors before confirming. They must then accept these GCS and proceed to payment via the secure system. Once payment has been validated, the Customer will receive a confirmation email and access to the Service will be unblocked immediately.
The sale will only be considered valid once the price has been paid in full. It is the Customer's responsibility to check the accuracy of the order and to report any errors immediately.
Any order placed on the https://lowdout.gg website constitutes the formation of a contract concluded remotely between the Customer and the Service Provider.
The Service Provider reserves the right to cancel or refuse any order from a Customer with whom there is a dispute relating to the payment of a previous order.
Customers can track the progress of their order on the site.
Placing an order on the https://lowdout.gg website implies the conclusion of a contract for a minimum period of 1 month, renewable for the same period by tacit agreement.
Under the terms of Article L 215 -1 of the French Consumer Code, reproduced below:
"For service contracts concluded for a fixed term with a tacit renewal clause, the trader providing the service shall inform the consumer in writing, by letter or dedicated e-mail, no earlier than three months and no later than one month before the end of the period authorising rejection of renewal, of the possibility of not renewing the contract he has concluded with a tacit renewal clause. This information, provided in clear and comprehensible terms, shall mention, in a visible box, the deadline for non-renewal. Where this information has not been sent to the consumer in accordance with the provisions of the first paragraph, the consumer may terminate the contract free of charge at any time after the renewal date. Advances made after the last renewal date or, in the case of open-ended contracts, after the date of conversion of the initial fixed-term contract, shall in this case be reimbursed within thirty days of the termination date, less the sums corresponding, up to that date, to the performance of the contract. The provisions of this article apply without prejudice to those which legally subject certain contracts to specific rules regarding consumer information. "
Article L215-2 of the French Consumer Code excludes the application of article L215-1 to operators of drinking water and wastewater services. Conversely, article L215-3 of the French Consumer Code states that these rules apply to contracts concluded between professionals and non-professionals.
Article L241-3 of the French Consumer Code penalises professionals who fail to make refunds in accordance with the conditions set out in article L 215-1 of the French Consumer Code
ARTICLE 4 - Terms of payment
The price is paid by secure payment as follows:
The price is payable in full by the Customer on the day the order is placed.
Payment data is exchanged in encrypted mode using the protocol defined by the approved payment service provider for banking transactions carried out on the https://lowdout.gg website.
Prestataire de paiement.
Les paiements sont opérés par Stripe Payments Europe Ltd (Irlande), prestataire de services de paiement agréé. Les données de carte bancaire sont collectées et traitées directement par Stripe via une interface sécurisée ; Lowdout n'a jamais accès à ces données et ne conserve qu'un identifiant client (« stripeCustomerId ») permettant le rapprochement entre l'Utilisateur et ses transactions. La collecte et le reversement de la taxe sur la valeur ajoutée applicable à chaque transaction sont assurés par le service Stripe Tax, sur la base de la localisation fiscale du Joueur, conformément à la réglementation TVA applicable. La politique de Stripe est consultable à l'adresse https://stripe.com/legal.
Qualité de Lowdout pour les prestations Weclimb.
Pour les prestations vendues sur la Plateforme Weclimb, Lowdout intervient en qualité de vendeur direct de la prestation au Joueur, sous sa marque Weclimb. Le contrat de vente est conclu entre le Joueur et Lowdout ; le Coach n'est pas partie à ce contrat. Lowdout encaisse le prix TTC, émet la facture unique en son nom, assume la responsabilité commerciale à l'égard du Joueur (qualité, conformité, remboursements, service après-vente) et rémunère ensuite le Coach au titre de la prestation sous-jacente selon les modalités du contrat de sous-traitance qui les lie (article 20).
Payments to subcontractor coaches. Coaches subcontracting for Lowdout are paid in bimonthly batches (on the 1st and 16th of each month, or the next business day), by bank transfer via Wise Payments Ltd (United Kingdom) and Qonto (Olinda SAS, France). The corresponding invoices are issued by Lowdout in the name and on behalf of the Coach under the self-billing mechanism of article 289 I-2 of the French General Tax Code, as set out in the subcontracting agreement and recalled in Article 20 of these GTCS.
Payments made by the Customer will not be considered final until the Service Provider has actually received the sums due.
The Service Provider shall not be obliged to provide the Services ordered by the Customer if the Customer does not pay the Service Provider in full in accordance with the above conditions.
ARTICLE 5 - Provision of Services
The Services ordered by the Customer will be provided as follows:
- The Services are provided in the form of a SaaS (Software as a Service) solution accessible via the Internet. Access to the platform is activated automatically as soon as payment is validated. The Customer accesses the Services using their personal login details.
- Sessions de coaching live Weclimb : la prestation est planifiée à la date et à l'heure choisies par le Joueur lors de la réservation, sous réserve de la disponibilité du Coach. La salle de visioconférence est rendue accessible aux deux parties à l'horaire convenu. Conformément à la politique de la Plateforme, toute session doit être réservée au moins vingt-quatre (24) heures avant son créneau de début, sauf indication contraire portée à la connaissance du Joueur au moment de la réservation. L'enregistrement de la session est régi par l'article 16 des CGU.
- Reviews VOD Weclimb : la prestation est délivrée par le Coach dans le délai contractuel choisi par celui-ci au moment de la mise en vente du produit (4 heures à 7 jours), à compter de la prise en charge effective de la demande par le Coach. Le délai est communiqué au Joueur avant la commande.
- Packs de sessions Weclimb : la prestation regroupe le nombre de sessions live indiqué dans l'offre, à planifier individuellement par le Joueur dans la limite de validité du pack. Le respect d'un espacement minimum entre deux sessions du même pack peut être imposé par le Coach et est porté à la connaissance du Joueur avant la commande.
- Sessions de groupe Weclimb : la prestation n'est confirmée et facturée que lorsque le nombre minimum de places fixé par le Coach est atteint. À défaut, la session est annulée d'office et toute somme déjà encaissée est intégralement restituée au Joueur dans les conditions de l'article 13.
The said Services will be provided within a maximum period of Immediately following validation of the order.
ARTICLE 6 - Right of withdrawal
In accordance with the provisions of article L.221-18 et seq. of the French Consumer Code, the Customer has a cooling-off period of 14 days from the date of subscription to the Service to exercise his right of withdrawal without having to justify his decision or pay any penalty.
However, in accordance with article L.221-28 1° of the French Consumer Code, the right of withdrawal may not be exercised for contracts for the supply of services fully performed before the end of the cooling-off period and for which performance has begun after the consumer's express prior agreement and acknowledgment of the loss of the right of withdrawal. The same exclusion applies under article L.221-28 13° to contracts for the supply of digital content not delivered on a tangible medium, under the same conditions.
Express waiver for Weclimb services. Given the nature of services delivered on the Weclimb Platform (live sessions, packs, group sessions, VOD reviews), confirming an order amounts to an express request that performance begin before the 14-day cooling-off period expires and to an express acknowledgment of the loss of the right of withdrawal for the portion of the service actually performed. This waiver is collected at each order through a dedicated, non-pre-checked checkbox distinct from the acceptance of the GTU/GTS, presented to the Customer at checkout, in compliance with article L.221-25 of the French Consumer Code. For session packs, the waiver only covers session credits actually consumed within fourteen (14) days of the order; credits not consumed within that period remain subject to a pro-rata withdrawal right, exercisable by request to contact@lowdout.gg.
Express waiver for digital services. Similarly, subscribing to Weclimb Premium, Lowdout Companion or Lowdout Manage — for which access to features opens immediately upon payment — amounts to an express request that performance begin and to a waiver of the right of withdrawal for the portion of the subscription period actually used. The Customer is informed of these effects at signup by a dedicated checkbox.
Scope of the waiver. The express waiver does not affect the Customer's rights under articles 13 (cancellation and refund of Weclimb services) and 14 (claims regarding the quality of a Weclimb service) of these GTS, which remain applicable after the order.
Specific case of subscriptions. Weclimb community subscriptions are continuously performed services: the exception of article L.221-28 1° does not apply to them and the right of withdrawal remains open for fourteen (14) days from subscription. At subscription time, the Client expressly requests the immediate start of the subscription and acknowledges that, in case of withdrawal, they will remain liable, in accordance with article L.221-25 of the French Consumer Code, for an amount proportionate to the service already provided until the communication of their decision; the balance is refunded. Service credits already used at the date of withdrawal, which are distinct services fully performed, are additionally deducted from the refund at their catalog value, under the conditions of article 13 ter. Withdrawal can be exercised online, free of charge, from the My subscriptions page of the Weclimb Platform (Withdraw from the contract function), or by any other means provided in this article. A dated acknowledgment of receipt is sent to the Client on a durable medium.
In order to exercise the right of withdrawal, the Customer must inform the Service Provider of their decision to withdraw by a means that allows a written record to be kept (post, e-mail) before the withdrawal period expires.
If the right of withdrawal is exercised in time, the Service Provider will refund all payments received from the Customer, including delivery costs (without undue delay and, in any event, no later than 14 days from the date on which the Service Provider is informed of the Customer's decision to withdraw). The refund will be made using the same means of payment as that used by the Customer for the initial transaction, unless the Customer expressly agrees to another means of payment and at no cost to the Customer.
ARTICLE 7 - Guarantees
The Service Provider warrants to the Customer that the Services provided comply with the provisions of these GTS and the descriptions on the https://lowdout.gg website.
The Customer has a period of 30 days from the provision of the Services in which to notify the Service Provider, in writing (by e-mail or post), of the existence of any defects or lack of conformity.
The Service Provider will reimburse or rectify or have rectified (as far as possible) the services deemed defective as soon as possible and at the latest within 30 days following the Service Provider's discovery of the defect or fault. This refund may be made by bank transfer or cheque.
The Service Provider's guarantee is limited to reimbursement of the Services actually paid for by the Customer.
The Service Provider shall not be held liable or in default for any delay or non-performance resulting from the occurrence of a case of force majeure as usually recognised by French case law.
The Services provided through the Service Provider's website comply with the regulations in force in France. The Service Provider may not be held liable in the event of non-compliance with the legislation of the country in which the Services are provided, which it is up to the Customer, who is solely responsible for choosing the Services requested, to check.
ARTICLE 8 - Personal data
The Customer is hereby informed that the collection of his personal data is necessary for the sale of the Services and their performance and delivery, as well as for their transmission to third parties involved in the performance of the Services. This personal data is collected solely for the performance of the service contract.
8.1 Collection of personal data
The following personal data are collected on the https://lowdout.gg website:
Opening an account
When creating a customer/user account: Nicknames, login details (Discord/Google), Identifiers (Discord) Last name, First name, Email address.
Payment
As part of the payment process for the Services offered on the https://lowdout.gg website, the latter records financial data relating to the Customer's bank account or credit card.
8.2 Recipients of personal data
Personal data is used by the Service Provider and its co-contractors for the performance of the contract and to ensure the efficiency of the service provision, its completion and delivery.
The category(ies) of co-contractor(s) is (are) :
- Payment institution service providers
The data controller is the Service Provider, within the meaning of the French Data Protection Act and from 25 May 2018 of Regulation 2016/679 on the protection of personal data.
8.4 limitation of processing
Unless the Customer expressly agrees, his/her personal data will not be used for advertising or marketing purposes.
8.5 Data retention period
The Service Provider will keep the data thus collected for a period of 5 years, covering the period of limitation of the applicable contractual civil liability.
8.6 Security and confidentiality
The Service Provider implements organisational, technical, software and physical digital security measures to protect personal data against alteration, destruction and unauthorised access. However, it should be noted that the Internet is not a completely secure environment and the Service Provider cannot guarantee the security of the transmission or storage of information on the Internet.
8.7 Implementation of Customer and user rights
Pursuant to the regulations applicable to personal data, Customers and users of the https://lowdout.gg website have the following rights:
- They may update or delete their data in the following ways: By sending a request by email to the company's contact address or directly via the user account settings on the platform.
- They may delete their account by writing to the e-mail address indicated in article 9.3 "Data controller"
- They may exercise their right of access to the personal data concerning them by writing to the address indicated in article 9.3 "Data controller"
- If the personal data held by the Service Provider is inaccurate, they may request that the information be updated by writing to the address indicated in Article 9.3 "Data controller"
- They may request the deletion of their personal data, in accordance with applicable data protection laws, by writing to the address indicated in article 9.3 "Data controller"
- They may also request the portability of data held by the Service Provider to another service provider
- Lastly, they may object to the processing of their data by the Service Provider. These rights, provided they do not object to the purpose of the processing, may be exercised by sending a request by post or e-mail to the Data Controller whose contact details are given above.
The data controller must respond within a maximum of one month. If the Customer's request is refused, reasons must be given.
The Customer is informed that in the event of refusal, he or she may lodge a complaint with the CNIL (3 place de Fontenoy, 75007 PARIS) or refer the matter to a judicial authority.
The Customer may be asked to tick a box by which they agree to receive informative and advertising emails from the Service Provider. They may withdraw their consent at any time by contacting the Service Provider (contact details above) or by following the unsubscribe link.
ARTICLE 9 - Intellectual property
The content of the https://lowdout.gg website is the property of the Seller and its partners and is protected by French and international intellectual property laws.
Any total or partial reproduction of this content is strictly prohibited and may constitute an infringement of copyright.
ARTICLE 10 - Applicable law - Language
These General Terms and Conditions and any transactions arising from them are governed by and subject to French law.
These GTC are written in French. In the event that they are translated into one or more foreign languages, only the French text will be deemed authentic in the event of a dispute.
ARTICLE 11 - Disputes
For any complaint, please contact the customer service department at the postal or e-mail address of the Service Provider indicated in ARTICLE 1 of these GTC.
The Customer is hereby informed that, in the event of a dispute, he or she may in any event have recourse to conventional mediation, with the existing sectoral mediation bodies, or to any alternative dispute resolution method (conciliation, for example).
To be designated. The Platform is currently in a closed-test phase and has not yet opened its commercial service to consumers. The consumer mediator that will be designated pursuant to Article L.612-1 of the French Consumer Code will be communicated in this Article before the actual commercial opening, and notified by electronic means to any User who has already placed an order.
Customers are also informed that they may also use the Online Dispute Resolution (ODR) platform: https://webgate.ec.europa.eu/odr/main/index.cfm?event=main.home.show
Compétence juridictionnelle du consommateur. Conformément à l'article R.631-3 du Code de la consommation, le Client consommateur peut, à son choix, saisir, en sus de l'une des juridictions territorialement compétentes en vertu du Code de procédure civile, la juridiction du lieu où il demeurait au moment de la conclusion du contrat ou de la survenance du fait dommageable.
All disputes arising from the purchase and sale transactions concluded in application of these GTCS and which have not been settled amicably between the seller or by mediation, will be submitted to the competent courts under the conditions of common law.
ARTICLE 12 - Weclimb coaching services
The weclimb.gg website (the "Weclimb Platform") allows Lowdout to sell competitive video-game coaching services to Players ("Players") in its own name and under the Weclimb brand. Lowdout is the direct seller of the service; the material execution is entrusted to selected independent coaches ("Coaches") acting as Lowdout subcontractors.
Coach status: the Coach acts as an independent service provider, as a Lowdout subcontractor within the meaning of Article 20 of these GTCS. The Coach is neither an employee, agent nor commercial representative of Lowdout, and is not a party to the sale contract concluded between Lowdout and the Player. He performs the services on behalf of Lowdout in compliance with these GTCS, the subcontracting agreement signed with Lowdout, the General Terms of Use and the Riot Games Inc. terms of use.
Coach's commitments. The Coach undertakes to :
- not to provide any boosting or duo-boosting services for the benefit of a Player, regardless of the commercial name given to such services;
- refuse any request to connect to a Player's Riot Games account, by communicating identifiers or by any other means;
- not to accept a performance where the Player states, implies or gives the impression that he is requesting a boost;
- immediately notify Lowdout of any boosting solicitation received via the Platform.
Transparency on the use of artificial intelligence.
Given the educational and personalised nature of the coaching service, the Coach undertakes to personally produce the content of each analysis, review, feedback or comment delivered to a Player. The Coach may only use a generative artificial intelligence system to produce all or part of the content delivered after expressly declaring this to Lowdout in advance and informing the Player in the body of the delivery. The Coach authorises Lowdout to subject its production to tools for detecting content generated by artificial intelligence, as part of the Platform's anti-fraud system. The use of generative artificial intelligence as an internal assistant to the Coach (drafting a framework, structuring feedback) is not prohibited as long as the final content delivered to the Player is the result of a substantial and personalised human analysis.
Consequences of a breach.
Any breach by the Coach of the undertakings set out above shall constitute serious misconduct entailing, at Lowdout's option: a formal warning; the temporary or permanent suspension of the Coach's account; the automatic termination of the Coach Onboarding Agreement; the withholding by Lowdout of any sums not yet paid to the Coach in respect of services for which fraud has been established; the reporting of the Coach to Riot Games Inc.

ARTICLE 13 - Annulation et remboursement des prestations Weclimb
Le présent article s'applique aux prestations Weclimb à exécution différée (sessions live, packs de sessions, sessions de groupe, reviews VOD). Il complète, sans s'y substituer, le droit de rétractation prévu à l'article 6.
Principe général. Toute partie peut annuler une prestation avant son commencement effectif. Les conséquences financières dépendent de la qualité de l'auteur de l'annulation (Joueur ou Coach) et du délai d'anticipation par rapport au créneau prévu, selon la grille ci-après.
Annulation par le Joueur.
- Plus de 24 heures avant le début : remboursement intégral des sommes versées (100 %).
- Entre 2 et 24 heures avant le début : remboursement partiel de 50 % des sommes versées, les 50 % restants étant conservés pour couvrir l'indisponibilité créneau imposée au Coach.
- Moins de 2 heures avant le début : aucun remboursement. Le Coach perçoit la contrepartie de la prestation comme s'il l'avait livrée.
Annulation par le Coach. Quelle que soit l'anticipation, l'annulation du fait du Coach donne lieu au remboursement intégral des sommes versées par le Joueur (100 %). Aucune somme n'est due au Coach.
Absence non excusée (« no-show »).
- Absence du Joueur seul : aucun remboursement. Le Coach perçoit la contrepartie de la prestation.
- Absence du Coach seul : remboursement intégral des sommes versées par le Joueur. Aucune somme n'est due au Coach.
- Absence des deux parties : remboursement intégral des sommes versées par le Joueur. Aucune somme n'est due au Coach. Lowdout se réserve le droit, en cas de schéma répété de doubles absences entre un même Coach et un même Joueur (deux occurrences ou plus en quatre-vingt-dix jours), de procéder à un audit interne et, le cas échéant, de suspendre les comptes concernés.
Détection des absences. L'arrivée de chaque partie dans la salle de visioconférence Daily.co est horodatée automatiquement par la Plateforme. Au-delà de quinze (15) minutes de retard sur l'heure de début prévue, la Plateforme qualifie automatiquement l'absence des parties manquantes. Une procédure manuelle de signalement reste accessible aux parties via leur espace personnel en cas de défaillance technique.
Packs de sessions. L'annulation d'une session individuelle au sein d'un pack suit la grille ci-dessus, appliquée au prix unitaire moyen de la session (prix total du pack divisé par le nombre de sessions). L'annulation totale d'un pack par le Joueur, avant utilisation effective de toute session, ouvre droit au remboursement intégral. Au-delà d'une session entamée, seule la fraction non encore consommée est remboursable, déduction faite des éventuelles pénalités d'annulation par session.
Sessions de groupe. Lorsqu'une session de groupe n'atteint pas le nombre minimum de places fixé par le Coach à l'horizon de vingt-quatre (24) heures avant le créneau prévu, elle est annulée d'office par la Plateforme et l'ensemble des places vendues est intégralement remboursé.
Modalités d'exécution. Les remboursements dus en application du présent article sont effectués par Lowdout, en sa qualité de vendeur de la prestation, sur le moyen de paiement initial du Joueur, dans un délai maximum de quatorze (14) jours à compter de l'événement déclencheur. Aucun frais n'est mis à la charge du Joueur. Compte tenu de la limitation technique de la plateforme Stripe, aucun remboursement supérieur au montant initialement perçu ne peut être versé : toute indemnité complémentaire éventuellement due au Joueur fera l'objet d'un règlement séparé. Lorsque le remboursement est dû à raison d'une défaillance imputable au Coach, Lowdout compense la somme correspondante sur le prochain payout dû au Coach au titre du contrat de sous-traitance (mécanisme de compensation contractuelle, article 20).
Fenêtre de signalement post-session. À l'issue d'une session live marquée terminée par le Coach ou par le système (15 minutes après l'heure de fin prévue), une fenêtre de signalement de soixante-douze (72) heures est ouverte aux deux parties. Pendant cette période, le Joueur ou le Coach peut saisir le service réclamations dans les conditions de l'article 14. L'éligibilité de la prestation au batch de rémunération bimensuel du Coach (article 20) est différée jusqu'à l'expiration de la fenêtre : sans signalement à l'issue de celle-ci, la prestation est définitivement validée et prise en compte dans le prochain batch.
Recours. Le Joueur ou le Coach qui conteste la qualification d'une annulation, d'une absence ou le quantum d'un remboursement peut saisir le service réclamations de Lowdout dans les conditions de l'article 14 ci-après.
ARTICLE 13 bis - Services consumed on a pack or a bundle (credits)
This Article applies exclusively to services that consume a credit issued from a live-session pack or a VOD review bundle purchased from a given Coach. It complements, without superseding, Article 13 above which governs single-unit services.
General principle. The pack or bundle is paid for in cash at the time of order. The unit of refund applicable to the cancelled portion of a service is not a sum of money but the credit itself, which returns to the Player's stack or is permanently extinguished according to the conditions set out below.
Credit allocation matrix.
- Player cancellation more than 24 hours before the start: the credit is returned to the pack or bundle (no sum is due to the Coach for the freed slot).
- Player cancellation less than 24 hours before the start, and unexcused Player absence ("no-show"): the credit is permanently consumed. The Coach receives the consideration for the slot as if the service had been delivered.
- Coach cancellation (any window) and unexcused Coach absence: the credit is returned and the expiration date of the pack or bundle is extended by thirty (30) days so the Player can reschedule without pressure.
- Mutual no-show: the credit is returned to the pack or bundle. Lowdout reserves the right, in the event of repeated mutual no-shows on the same Player–Coach pair, to conduct an internal audit.
Credit validity period. Unless otherwise stipulated at purchase, credits from a pack or bundle are valid for six (6) months from the date of purchase. The Platform sends the Player, at the email address associated with their account, expiration reminders thirty (30) days then seven (7) days before the deadline. After the expiration deadline, unconsumed credits are permanently extinguished, with no right to a refund.
Full cancellation of the pack or bundle by the Player. As long as no credit has been consumed, the Player may request a full refund of the pack or bundle under the right of withdrawal (Article 6) or, subsequently, under this Article. Where at least one credit has been consumed, the refund is calculated pro rata to the credits not yet consumed, less the Platform commission.
Execution terms. Credit returns and expiration extensions provided for in this Article are applied automatically by the Platform upon qualification of the triggering event. Any monetary refunds (full cancellation of the pack or bundle) are processed via the original payment method within a maximum of fourteen (14) days.
ARTICLE 13 ter - Weclimb community subscriptions
Some Coaches offer monthly subscriptions on the Weclimb Platform giving access to their community: reserved content, perks, discounts and, depending on the chosen tier, service credits (individual sessions, group sessions, game reviews). The exact content of each tier, its price including all taxes and the billing period are displayed before subscription.
Duration and renewal. The subscription is concluded for a duration of one (1) month, tacitly renewed on each anniversary date for an identical duration, with no minimum commitment. The provisions of articles L.215-1 to L.215-3 and L.241-3 of the French Consumer Code, reproduced in article 3 of these terms, apply.
Price. The monthly price is the one displayed on the day of subscription. It remains locked for the Client for the whole duration of their subscription: a later change of the tier's price by the Coach does not apply to ongoing subscriptions.
Tier changes by the Coach. If the content of a tier (perks, credits) must evolve, the change only applies to ongoing subscribers from the following monthly cycle and after prior notice within a reasonable time, allowing the Client to cancel free of charge before it takes effect, in accordance with article R.212-4 of the French Consumer Code.
Service credits. Credits included in a tier are issued at the start of each monthly period and are only valid during that period: credits unused at the renewal date expire and do not roll over. This rule is brought to the Client's attention before subscription. The cancellation of a service booked with a credit follows the restitution matrix of article 13 bis.
Termination by the Coach or the Platform. If the subscription ends at the initiative of the Coach or of Lowdout (in particular if the Coach is excluded from the Platform), the Client is refunded the unserved part of the current period, pro-rata. No amount corresponding to services not provided by the professional is retained.
Cancellation by the Client. The Client may cancel their subscription at any time, free of charge and without reason, from the My subscriptions page of the Weclimb Platform (Cancel your contract function), in accordance with article L.215-1-1 of the French Consumer Code. The cancellation takes effect at the end of the current monthly period: the Client keeps access to the community and their credits until that date, and no further charge occurs afterwards. A confirmation stating the end date is sent to the Client on a durable medium.
Withdrawal. The withdrawal regime applicable to subscriptions is set out in article 6 of these terms: withdrawal is possible for fourteen (14) days from subscription, with a pro-rata refund of the unserved period. Service credits are distinct services within the subscription: credits already used at the date of withdrawal are deducted from the refund at their value, corresponding to the Coach's current catalog price for the equivalent service (hourly rate pro-rated to the duration for an individual session, per-seat price for a group session, price of the relevant game review). The refund can never be negative: no additional amount is claimed from the Client beyond the price of the paid period.
Tier switch. The Client may switch tiers with the same Coach at any time. Upgrading takes effect immediately and opens a new monthly period at the new price; downgrading takes effect at the next renewal.
ARTICLE 13 quater - Restitution for Coach inactivity on Group session credits
Some subscriptions (article 13 ter) and some packs (article 13 bis) grant access to Group session credits, spendable on the collective sessions organized by the Coach during the credits' period of validity. These credits are only usable if the Coach effectively publishes collective sessions during that period.
Principle. Where, at the end of a community subscription monthly period or at the expiry of a pack, the Client holds Group session credits that could not be spent because the Coach published, during the corresponding window, a number of collective sessions strictly lower than the number of credits held, the Platform automatically provisions a proportional restitution to the Client, with no action required on their part.
Restitution calculation. The restitution is computed, for each Group session credit that could not be spent, as the lesser of the following two amounts, and in any case capped at the price effectively paid for the relevant subscription or pack:
- first, the catalog value of one Group session seat as offered by the Coach, recorded at the time of subscription or of purchase (the « catalog snapshot »);
- second, the fair share of the paid price attributable to the « Group session credits » perk of the tier or of the pack, divided by the total number of Group session credits issued for the same window (the « fair share per credit »);
- in any event, the total refund granted under this article may not exceed the price effectively paid by the Client for the period or the pack concerned.
Sessions counted. For the purposes of this calculation, are counted as published collective sessions those sessions published by the Coach whose scheduled date falls within the credits' period of validity and which were not canceled before their date. A published session which the Client voluntarily chose not to join, when accessible to them, does not give rise to restitution.
Catalog snapshot. The catalog value of a Group session seat is locked at the time of subscription (subscription case) or of purchase (pack case). A later increase of the price by the Coach does not increase the amount of the restitution.
Execution. The restitution is automatically stamped by the Platform at the closing of the period or at the pack's flip to the expired status. The corresponding monetary refund is issued to the initial payment method within a maximum of fourteen (14) days and notified to the Client on a durable medium.
Community subscriptions. For a subscription, the window of validity is the closing monthly period. Any restitution applies period by period, with no retroactive effect on already-closed periods.
Packs. For a pack, the window of validity spans from the pack purchase to its expiry set at article 13 bis (validity end date). The restitution is computed once, at the time of expiry, and covers the Group session credits that could not be spent as of that date.
Exclusions. This article covers Group session credits only. Individual session credits and game review credits do not fall under this regime: their consumption depends on the Client's initiative (session request or replay submission) and not on the publication of a session by the Coach. Perks and services other than Group session credits (content, discounts, personalized mentions) do not give rise to a monetary refund under this article.
ARTICLE 14 - Réclamations sur la qualité d'une prestation Weclimb
Outre le droit de rétractation et le régime d'annulation des prestations exposés aux articles 6 et 13, le Joueur dispose, à l'égard de toute prestation Weclimb effectivement délivrée, d'un droit de réclamation portant sur la qualité de la prestation reçue.
Objet de la réclamation. La réclamation peut porter notamment sur : la non-livraison effective de la prestation ; le caractère manifestement générique, automatisé ou produit par intelligence artificielle non déclarée du contenu d'une review VOD ; le caractère inapproprié, abusif ou contraire aux engagements du Coach des propos tenus pendant une session ; le manquement caractérisé du Coach aux engagements de loyauté du jeu prévus aux CGU et au Contrat d'onboarding Coach.
Procédure. La réclamation est formée par le Joueur dans un délai de soixante-douze (72) heures à compter de la date à laquelle la prestation a été marquée comme délivrée, soit depuis l'espace personnel du Joueur (bouton de contestation dédié), soit par e-mail à l'adresse contact@lowdout.gg.
Instruction. Lowdout procède à l'examen contradictoire de la réclamation, en s'appuyant notamment, lorsque cela est techniquement possible, sur l'enregistrement de la session (article 16 des CGU) et sur les pièces fournies par les parties. Le Coach concerné est mis en mesure de présenter ses observations.
Issues possibles. À l'issue de l'instruction, Lowdout peut, selon les circonstances :
- ordonner le remboursement total ou partiel des sommes versées par le Joueur (« remboursement intégré ») ;
- réorienter la demande vers un autre Coach lorsque cela est techniquement possible et dans le respect des règles de la Plateforme (« nouvelle prise en charge ») ;
- rejeter la réclamation comme non fondée et confirmer la délivrance de la prestation (« délivrance confirmée »).
La décision motivée est notifiée au Joueur et au Coach par voie électronique, dans un délai cible de quinze (15) jours à compter de la saisine.
Conséquences pour le Coach. Lorsque la réclamation est jugée fondée et révèle un manquement caractérisé du Coach, Lowdout applique l'échelle de sanctions prévue au contrat de sous-traitance signé par le Coach, sans préjudice de la compensation contractuelle sur les payouts à venir des sommes déjà remboursées au Joueur (clause de clawback, article 20).
Recours ultérieurs. La présente procédure interne ne fait pas obstacle aux droits du Joueur consommateur prévus aux articles 6, 11 et 13 des présentes CGV, et notamment au recours à la médiation de la consommation et aux juridictions compétentes.
ARTICLE 20 - Opaque commissionaire model: Lowdout, direct seller of Weclimb services
This article sets out the legal structure Lowdout has adopted for the operation of the Weclimb Platform and clarifies the respective roles of the parties (Lowdout, subcontractor Coaches, Players).
Contractual chain. A Player who buys a service on the Weclimb Platform enters into a single sale contract with Lowdout SASU, acting in its own name. The Coach who materially performs the service is never a party to that contract. Upstream, Lowdout purchases the underlying service from the Coach acting as an independent subcontractor, under a distinct subcontracting agreement concluded directly between Lowdout and each Coach (the "Coach Subcontracting Agreement").
Consequences for the Player. Lowdout is solely liable to the Player for the obligations arising from the sale contract: quality of the service, conformity to the description, deadlines, after-sales service, refunds. Every complaint, report or indemnification claim from the Player is handled by Lowdout, which bears the final cost vis-à-vis the Player. Any liability of the subcontractor Coach exists only vis-à-vis Lowdout, under the Coach Subcontracting Agreement.
Invoicing. A single invoice, issued by Lowdout in its own name and addressed to the Player, corresponds to each service sold. That invoice carries the VAT collected by Lowdout via the Stripe Tax service, at the rate applicable to the Player's tax location. The Coach receives, on the other side, a self-billed invoice issued by Lowdout in the Coach's name and on the Coach's behalf for the service supplied to Lowdout (self-billing mechanism under article 289 I-2 of the French General Tax Code).
Transparency on the execution. The Player is transparently informed of the identity of the Coach in charge of performing each service he buys. The Coach's identity is displayed on the service page, in the Player's personal space, and in transactional communications sent to the Player (confirmation, reminder, rating invitation). This transparency does not affect Lowdout's status as seller nor the application of this article.
Contractual set-off (clawback). Lowdout is expressly authorized to offset, against future payouts due to the Coach under the Coach Subcontracting Agreement, any amount it has refunded to a Player as a result of a default attributable to the Coach (cancellation, no-show, non-delivery, insufficient quality giving rise to a founded claim), as well as any chargeback suffered and any contractual penalty. This mechanism is described in detail in the Coach Subcontracting Agreement.
ARTICLE 21 - Subcontractor coaches: legal status
The coaches who materially perform the services sold by Lowdout on the Weclimb Platform are independent professionals: self-employed contractors, sole traders, freelancers under foreign status, commercial companies (EURL, SASU, umbrella-employment companies, foreign companies) or any other legal form of autonomous professional practice.
No subordinate relationship. Subcontractor coaches are in no way employees of Lowdout. They practice independently: they freely set the prices they charge, their availability and their workload, are free to accept or decline any service offered by Lowdout, are subject to no exclusivity clause (they may freely provide their services to any competing platform, direct clients or employer), supply their own equipment (computer, connection, software) and are solely responsible for their tax and social obligations in their country of residence. Lowdout gives them no instruction on the pedagogical method, content or style of the services they supply.
Selection of coaches. Lowdout selects subcontractor coaches on objective criteria (attested skill level, teaching experience, respect of contractual commitments, absence of material breach) and reserves the right to interrupt or suspend the relationship with any Coach at any time, under the conditions provided in the Coach Subcontracting Agreement.
Reporting obligations. Lowdout acts as a platform operator within the meaning of article 242 bis of the French General Tax Code and of the DAC7 framework (article 1649 ter A of the FGTC, EU directive 2021/514). Accordingly, each year, before 31 January of year N+1, Lowdout transmits to the French tax administration a summary of the amounts paid to each Coach during year N, for automatic exchange with the tax administration of the Coach's country of residence. A copy of that summary is sent to the Coach within the same deadlines. It is the Coach's responsibility to declare the income received from Lowdout to the competent tax and social administrations of his country of residence, according to the procedures applicable to him.
